Terms of Service

1. Preamble

These Terms of Service govern all consulting and engineering services offered by AyCode, an independent Platform Engineering consultancy, to its clients (hereinafter "the Client"). Any order implies full and unreserved acceptance of these Terms.

2. Services

AyCode notably provides the following services:

  • Audit of platform, infrastructure and Developer Experience
  • Design and build of internal platforms (Internal Developer Platform)
  • CI/CD pipelines, GitOps, Kubernetes orchestration and Infrastructure as Code
  • Observability, reliability (SRE) and cloud cost optimization (FinOps)
  • Support, upskilling and knowledge transfer to teams

The details of deliverables, scope, timelines and terms are specified in the quote or engagement proposal accepted by the Client.

3. Quote and order

Every service is subject to a written quote, valid for 30 days from its date of issue. The order is deemed firm upon receipt of the signed quote and the corresponding deposit.

4. Pricing and payment terms

Prices are expressed in euros excluding tax and are specified in each quote.

Unless otherwise stated in the quote, the payment terms are:

  • 30% on order
  • 40% on intermediate delivery (validation of the design or beta version)
  • 30% on final delivery

Any late payment incurs late-payment penalties at the applicable statutory rate, together with a fixed recovery indemnity of €40.

5. Delivery timelines

The timelines given in the quote are indicative and begin upon receipt of the deposit and of all elements required to start the project. AyCode undertakes to inform the Client of any significant delay as soon as possible.

6. Client obligations

The Client undertakes to:

  • Provide the necessary elements (content, access, feedback) within the agreed timelines.
  • Designate a single point of contact with validation authority.
  • Provide precise and consolidated feedback.

Any delay attributable to the Client may push back delivery timelines without engaging AyCode's liability.

7. Intellectual property

Ownership of the deliverables is transferred to the Client after full payment of the price. AyCode retains the right to mention the completed project in its commercial references, unless otherwise agreed in writing by the Client.

Open-source libraries and tools used remain subject to their respective licences.

8. Confidentiality

AyCode undertakes to keep confidential all information provided by the Client in the context of the engagement. This confidentiality obligation applies for the entire duration of the contract and for 3 years after its termination.

9. Limitation of liability

AyCode's liability is limited to the amount actually received for the service concerned. AyCode cannot be held liable for indirect damages, loss of business or loss of profit.

10. Termination

In the event of termination by the Client after work has begun, amounts paid remain acquired by AyCode in proportion to the work carried out. AyCode may terminate the contract in the event of a serious breach by the Client, after formal notice left unaddressed for 15 days.

11. Governing law and disputes

These Terms are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution before any legal action. Failing that, the dispute will be submitted to the competent courts.
